GetPortal END-USER LICENSE AGREEMENT

GetPortal provides this website ("GetPortal"), all the content on this website, related software, and its services to you subject to the following End-User License Agreement. By using GetPortal you agree to be bound by the latest amended versions of this Agreement and GetPortal's Privacy and Security Policy (see "Modifications" below).

ACCEPTING THE TERMS

By using the information, tools, functionality and features located on GetPortal, through any GetPortal APIs, or through any software or other websites that interface with GetPortal or its APIs (collectively the "Service"), you agree to be bound by this Agreement. If you accept this Agreement, you represent that you have the capacity to be bound by it or, if you are acting on behalf of a company or entity, that you have the authority to bind such entity.

TRADEMARKS AND SERVICEMARKS

GetPortal, the GetPortal logo, and other GetPortal graphics, logos, page headers, button icons, scripts, and service names are trademarks, certification marks, service marks, or other trade dress of GetPortal or its subsidiaries. GetPortal's trademarks, certification marks, service marks, and trade dress have inherent meaning and substantial value because of their restricted use. They may not be used in connection with any product or service that is not GetPortal's, in any manner without GetPortal permission. All other trademarks not owned by GetPortal or its subsidiaries that appear on GetPortal are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by GetPortal or its subsidiaries.

LICENSE TO ACCESS GETPORTAL AND SERVICES

In consideration for accessing GetPortal and the Service, GetPortal grants you a limited license to access and make personal use of the current website. This license prohibits your from modifying any portion of it, except with express, written consent of GetPortal. This license does not allow resale of GetPortal's services without GetPortal's written permission. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of GetPortal without express written consent of GetPortal. You may not use any meta tags or any other "hidden text" utilizing GetPortal's name or trademarks without the express written consent of GetPortal. Any unauthorized use of the Files resided at GetPortal automatically terminates the permission or license granted by GetPortal and may incur legal liabilities for any damages.

You are granted a limited, revocable, and non-exclusive right to use hyperlinks provided to you directly by GetPortal, its affiliates, partners or other third-parties, the access to which was gained through GetPortal, in accordance with the respective current End-User License Agreement of this site or service which provided you the certain link. Any links resided at GetPortal, its affiliates, partners or the third parties are provided exclusively for the personal non-commercial usage through direct downloading of the files.

You may not share, send, save, modify, or cause any damage to the links or Files provided at the current website or its affiliates, partners or other third parties.

You may not use hyperlinks AND/OR files which were not explicitly provided personally to you by GetPortal, its partners, affiliates or other third parties (including but not limited to the similar links provided by other persons or companies, which are not related to GetPortal, links on other non-related websites, search engines, analytical, statistical or other services, or manually edited hyperlinks).

Any use of such hyperlinks and/or files, is prohibited, and deemed as violation of the current End-User License Agreement and terminates the user’s access to the current website immediately.

GetPortal, its affiliates, partners or other related third-parties are in no event liable for the damage such links or files may cause to the user’s computer (including but not limited to the loss of data, system errors, bugs or malicious software). You acknowledge and agree that GetPortal shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such files or links.

You may not use any of GetPortal's proprietary graphics or trademarks as part of the link without express written permission.

THIRD PARTY FILES

GetPortal's Service allows you to install or utilize certain Third Party Files, Programs, Apps or Products ("Files"). These Files are provided "AS IS" and governed by their own End-User License Agreement or Terms of Use and Privacy Policies as set forth by the Third Parties that provide them. GetPortal does not endorse and is not responsible or liable for the services or features provided by these Files or programs you choose to install. You acknowledge and agree that GetPortal shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Files.

RECORDS OF GETPORTAL VISITOR USE AND ABUSE

As a visitor to GetPortal and a user of the GetPortal Service, you consent to having your IP address recorded and your activities monitored to prevent abuse.

INDEMNITY

You agree to indemnify and hold GetPortal, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your connection to the Service, your violation of the End-User License Agreement, or your violation of any rights of another.

DISCLAIMER OF WARRANTIES

GETPORTAL, THE GETPORTAL SERVICE, AND DOWNLOADABLE SOFTWARE ARE PROVIDED BY GETPORTAL ON AN "AS IS" AND "AS AVAILABLE" BASIS. GETPORTAL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF GETPORTAL, THE EFFECTIVENESS OF ITS SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON GETPORTAL. YOU EXPRESSLY AGREE THAT YOUR USE OF GETPORTAL , THE GETPORTAL SERVICE, AND ANY DOWNLOADABLE SOFTWARE IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, GETPORTAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GETPORTAL, ITS LICENSORS, AFFILIATES, SUPPLIERS OR PARTNERS BE RESPONSIBLE FOR ANY RANDOM, EXEMPLARY, INDIRECT, RETRIBUTIVE AND ADVERSE DAMAGES, PROFITS LOST, OR DAMAGES RESULTING FROM DATA LOSS OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF OR INABILITY TO USE THE SITE, THE CONTENT, OBTAINED RESULTS, SERVICES OR INFORMATION WHETHER BASED ON WARRANTY, TORT, CONTRACT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GETPORTAL HAS WARNED ABOUT THE POSSIBILITY OF SUCH KIND OF DAMAGES. TO THE ISSUES PERMITTED BY LAW, THE REMEDIES STATED FOR YOU IN THESE TERMS OF USE ARE EXCLUSIVE AND ARE LIMITED TO THOSE SPECIFICALLY DESCRIBED IN THESE TERMS OF USE.

You agree that notwithstanding any law or statute to the contrary, any allegations of irregularities or cause of action arising out of or related to use of our sites, services, products, content or these Terms must be filed during one (1) year after such cause of action or claim arose or be forever barred.

TERMINATION

GetPortal's policy is to investigate violations of this End-User License Agreement and terminate repeat infringers. You agree that GetPortal may, under certain circumstances and without prior notice, immediately terminate your access to GetPortal and associated Services. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the End-User License Agreement or other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) discontinuance or material modification to the Service (or any part thereof); (d) unexpected technical or security issues or problems; (e) extended periods of inactivity; (f) you have engaged or are reasonably suspected to be engaged in fraudulent or illegal activities; (k) use of fraudulent payment methods; and/or (l) nonpayment of any fees owed by you in connection with GetPortal and associated Services. Further, you agree that all terminations for cause shall be made in GetPortal's sole discretion and that GetPortal shall not be liable to you or any third-party for any termination of your access to the Service, or any disruption to your services such a termination may cause. You expressly agree that in the case of a termination for cause you will not have any opportunity to cure. You further acknowledge and agree that notwithstanding any termination, your obligations to GetPortal set forth in corresponding sections described above shall survive such termination.

MODIFICATIONS

GetPortal may modify this Agreement from time to time. Any and all changes to this Agreement will be posted at this webpage. In addition, the Agreement will indicate the date it was last revised. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted.

LINKS

The Service may provide, or third parties may provide, links to other websites or resources. Because GetPortal has no control over such sites and resources, you acknowledge and agree that GetPortal is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that GetPortal shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content.

WAIVER

The failure of GetPortal to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of the End-User License Agreement is found to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.

SEVERABILITY OF TERMS

If any provision of the End-User License Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the End-User License Agreement remain in full force and effect.
